A Personal View of What Happens During Board Meetings

A board meeting is a formal meeting that is organized by the company and attended by the key stakeholders of an organization such as the board of directors so as to deliberate and iron out prospects policy issues and major problems within the firm. Thus, board meetings are usually held at definite intervals during each and every financial year of the business. However, for the meeting to be effective, it must be attended by a specific number of people so as to meet the quorum.

Hence, based on the concept of mutual obligation, the stakeholders and directors of the organization even if absent are bound by the resolutions of the meeting. Therefore, this paper seeks to highlight my perception with regards to what happens during board meetings and consequently what role would I play in the circumstances that am involved in the meeting as one of the directors of the organization.

The primary function of the board of directors is to ensure and enhance good governance within the organization so as to improve the efficiency and effectiveness of the corporation. Thus, board meetings are significant elements of the organization because they create a platform where the board members and directors come together to deliberate about the performance of the company, and adopts and implements appropriate ways of maximizing the returns of the shareholders.

Thus, my perception with regards to what happens during board meetings is that an oversight and strategic planning and guidance of the business is provided during the meeting. Also, the members and board of directors reviews the previous performance of the business and consequently discusses the possible future strategic plans of the organization to enhance support and growth of the business. As well, the board reviews the minutes of the previous meeting so as to ratify them and complete any pending agendas in their preceding meeting.

What Role I Would Play in Case Am Involved in the Board Meeting as one of the Directors of the Organization

Before discharging any roles and responsibilities, it's important to first understand the type and nature of the task assigned. Thus, as one of the directors of the organization, I will be entitled to running the day to day affairs on behalf of the shareholders. As a result, I will be directly accountable to the shareholders since their burden of liability will be transferred to me.

Therefore, my role will be ensuring and working hard towards the attainment of the overall goal of the organization. Consequently, I will direct the affairs of the company, as well as the interest of the shareholders and deal with various challenges and issues with regards to corporate governance, professional ethics and corporate social responsibility with an aim of achieving prosperity of the company.

Based on corporate governance and corporate social responsibility, it's the primary duty and responsibility of the board of directors together with other key stakeholders of the company to exercise the strategic function of the business.

In consequence, as one of the directors of the board, my role will be to provide appropriate, relevant and timely direction to the organization such as the vision, mission, and objectives of the function. Ultimately, my final role will be to establish a policy based governance system for the company so as to provide a framework and define the working rule and regulations of each function within the organization.
